LAWYER FOR THE ORGANIZATION: CONFLICTS OF INTEREST, CONFIDENTIALITY, REPORTING, AND WHISTLEBLOWING

Enhance your understanding of current ethics issues with this presentation led by Professor George Rutherglen. This seminar begins with the understanding that many, if not most, forms of the practice of law involve representation of organizations, whether public, private, corporate, trust, or partnership. Even representation of individuals frequently involves their dealings with organizations. As the organizational structure of clients has profound implications for the practice of law and for the rules regulating that practice, it’s vital that a lawyer understand who, exactly, he or she represents when representing an organization. From there, Rutherglen will delve into the appropriate way to treat information received from an organization. Finally, he will discuss the controversy over the extent to which lawyers can—or must—report wrongdoing of their corporate clients. These issues will be covered with an emphasis on concrete cases and current rules.

Rutherglen

GEORGE RUTHERGLEN came to the University of Virginia's law faculty in 1976. He teaches admiralty, civil procedure, employment discrimination, and professional responsibility. While he was a student at law school, Rutherglen was articles editor of the California Law Review and a member of the Order of the Coif. After graduation, he clerked for Judge J. Clifford Wallace of the U.S. Court of Appeals for the Ninth Circuit in San Diego, and Justices William O. Douglas and John Paul Stevens of the U.S. Supreme Court. Rutherglen has chaired the advisory committee on Fourth Circuit Rules and served as director of the Graduate Program for Judges at the Law School. He has written widely on employment discrimination, civil rights, and admiralty.

CHARLES D. (SKIP) FOX IV is a partner of the law firm of Schiff Hardin LLP, based in Chicago, Illinois. Skip concentrates his practice in estate planning, estate administration, trust law, and charitable organizations. He teaches several courses at the American Bankers Association National Trust School and the National Graduate Trust School, and is an Adjunct Professor at Northwestern University School of Law. He is a frequent lecturer across the country at seminars on trust and estate topics, as well as the author and co-author of several books. He received his A.B. from Princeton, his M.A. from Yale, and his J.D. from the University of Virginia.

ROBERT SAYLER joined the University of Virginia’s law faculty in 2003 after previously teaching as a visiting faculty member. He has served as Board President of the Legal Aid Society in Washington. National Law Journal included him in its Top 100 Most Influential Lawyers list in 1997 and 2000, and named him Preeminent Insurance Coverage Lawyer in 1997. That same year he was named Commercial Litigator of the Year by International Commercial Litigation, as well as one of its Litigators of the Year. Sayler is also a partner at Covington & Burling in Washington, D.C.
