Course Description:

Seminars in Ethical Values are designed to enhance students' understanding of ethical issues and address the broader ethical and moral responsibilities of the lawyer as citizen and leader. The seminars are graded on a pass/fail basis; students earn one credit in the spring semester upon successful completion of the seminar.

In this seminar I want to discuss the following questions: At the intersection of law and business do professionals usually strive to behave in an ethical manner—with just a few sad exceptions hitting the news cycle with a furor? Or is the temptation to misbehave too great, especially in the throes of complexity, such that bad behavior happens much more frequently than an optimistic (Pollyannaish?) observer might expect. And if the latter is true, why?

We will spark this debate with video and text materials that focus on a number of challenging legal and business situations. These will likely include the following:

1. Blatant Theft: KL Group and Won Sok Lee
2. Nice Perks: Vinod Gupta and InfoUSA
3. Privileged Information: Anil Kumar, Rajat Gupta, and insider trading trouble
4. Changing Mores: the LBO of RJR Nabisco
5. Contagion: Arthur Andersen and Enron
6. Growth Pressure: Wal-Mart in Mexico
7. Corporate Espionage: Broker, Trader, Lawyer Spy

NOTE: Seminar sessions will be held on the following Sunday evenings: 9/30, 10/28, 2/3, 3/3, and 4/7.

ATTENDANCE REQUIREMENT: Attendance at all class sessions is required
