Course Description:

This seminar will study theoretical and practical topics in the legal structure of human organization. We will move beyond the basic business associations class to study broad questions. We will explore why some firms are owned by investors and some are owned by employees, customers or other people; why organizational law is essential for the conduct of modern enterprise even in the presence of free contracting; why business firms allocate resources internally through hierarchy and authority rather than market-based bidding; and whether business organizations should serve the interests of shareholders or of other constituencies. We will also study unique types of enterprise that are commonly ignored by entry-level business associations classes, including investment funds, nonprofits, asset securitization vehicles, co-ops, mutuals and (possibly) marriage. We will ask why these types of enterprise exist and what sorts of functions they serve.

NOTE: Laptops are not allowed during class sessions.
