Course Description:
This short course meets throughout the spring semester as described below.
The clinic involves instruction and practical training on advising start-up companies and drafting basic corporate documentation. As part of the clinic, students will work with and advise Darden students who have been accepted to participate in the Darden Business Incubator.
As preparation for advising Darden students in the incubator, students will participate in a series of class sessions over the first half of the semester covering the topics most frequently encountered by start-up businesses. Then, students will receive first-hand experience in working with the real start-up companies that will be participating in the Darden Business Incubator in the summer of 2013 under the supervision of a licensed attorney. The students will take the lead role in working with the Darden students, including conducting interviews, performing research, providing a legal plan for the business, identifying documents to be drafted, and drafting documents.
This course will meet throughout the semester. During the first five weeks, there will be two 90-minute sessions each week consisting of a substantive overview of the areas of law and issues most frequently encountered in working with start up companies. There will then be five modules over the remaining eight weeks of the semester, each requiring, on average, 100 minutes of instruction time. The five modules will be as follows: (i) meet client company and conduct interview to assess nature of business, (ii) assess legal issues and needs of client company and prepare summary of issues, (iii) meeting with client company to provide initial overview of legal issues associated with business and provide suggested course of action as to initial documents to be prepared, (iv) draft documents to meet initial client needs, and (v) meeting with client company to provide final legal plan and draft documents.
It is anticipated that meetings for parts (ii) and (iv) would be held during normal class time. Parts (i), (iii) and (v) would be scheduled with the client companies.
