Course Description:
NOTE:
This section of Corporations is part of the Law School’s Law & Business Program. It has approximately the same substantive coverage as other Corporations sections, but assumes knowledge of accounting and corporate finance (which may be taken concurrently).
This course will consider the formation and operation of corporations. It will examine the roles and duties of those who control businesses and the power of investors to influence against those in control. Topics covered include fiduciary duties, executive compensation, mergers and acquisitions, voting rights and insider trading. The course will use both new tools derived from the corporate finance and related literature and traditional tools to explore a wide range of phenomena and transactions associated with the modern business enterprise.
PREREQUISITE or CONCURRENT: Accounting and Corporate Finance (or equivalent undergraduate, graduate or practical training in both subjects)
