Course Description:
This seminar will cover current issues in corporate law and governance such as state competition in corporate law, anti-takeover law and the desirability of increasing shareholder power. Some sessions will feature guest speakers. There will be no exam or paper requirement. Instead, students will be asked to submit brief memos on the assigned readings. Some tolerance to economics recommended.
ATTENDANCE REQUIREMENT: Students seeking to enroll in this seminar, whether enrolled or not, must attend the first class session. Enrolled students who do not attend the first class session will be dropped.
PREREQUISITE or CONCURRENT: Corporations or Corporations (Law & Business)
COURSE REQUIREMENT: Weekly memos on assigned readings
