Course Description:
This short course meets Tuesday, Thursday, Friday, 11:30-12:50 p.m., January 29 - February 15.
Private equity firms have become one of the largest and most important players in the capital markets and global economy. The course examines issues central to the performance of the industry: the structure of the funds, the measurement of returns, and the value and structure of the transactions. The focus of this course is on
analytical tools and methods
– to measure performance and to value enterprises or transactions. I teach a longer version of this course at Darden (Entrepreneurial Finance and Private Equity) and therefore the materials for the course are predominately cases and technical notes that have been written for that course. Due to the abbreviated nature of the course, I plan to focus on issues related to fund structure the first week, issues related to the valuation of early stage companies and terms sheets the second week, and issues related to the valuation of late stage companies and leveraged buyouts the final week. Because there are many aspects of PE that involve both legal and business issues, I will attempt to select certain materials where these areas intersect. The goal of the course is to develop a deeper understanding of the PE industry through actual cases that present frequently encountered legal and business situations. It should be helpful for those who wish to work for or with private equity firms and those who wish to buy or sell companies to those firms. Please do not take this course unless the subject matter is of interest to you and you are prepared to
attempt
some active problem solving (i.e., this is a hands-on course). I do not expect you to have as much facility with Excel as Darden students but you will need some basic ability with it to prepare the cases. There will be an optional quiz to help reinforce fundamental concepts and a final exam. I expect and encourage a high degree of class discussion and you must participate to enjoy and do well in the class.
ATTENDANCE REQUIREMENT: Attendance at all class sessions is expected
PREREQUISITE: Accounting and Corporate Finance (or equivalent graduate, undergraduate or practical training in both subjects)
