Course Description:

COURSE DESCRIPTION: This course will consider the formation and operation of corporations, partnerships and other business associations. It will examine the roles and duties of those who control businesses and the power of investors to influence those in control. Topics covered include agency, fiduciary duties, mergers and acquisitions, voting rights and insider trading. The course will assume a basic knowledge of corporate finance and accounting and may examine theoretical perspectives on contemporary questions in corporate structure and governance.

Prerequisites:Accounting and Corporate Finance (or waiver of same based on equivalent undergraduate, graduate or practical training in both subjects). To obtain waiver, student must contact SRO before Lottery or Add/Drop processes.
Course Requirement:Flex examination at end of the semester.
