Course Description:

This course is a basic component of the business law curriculum. It deals with the agency relationship and its consequences, focusing on such topics as contractual authority, vicarious liability, and fiduciary obligation. The course also serves as an introduction to the partnership as the primary noncorporate business organizational form involving co-ownership. The course will include discussion of limited liability partnerships and may include discussion of limited liability companies as time permits. Although the course uses litigated cases as the primary material, it aims to provide future transactional lawyers with the basic tools necessary to help clients structure their affairs in a manner consistent with their business goals, including minimizing unwanted liability.
