Course Description

This course will consider the formation and operation of corporations, partnerships and other business associations. It will examine the roles and duties of those who control businesses and the power of investors to influence those in control. Topics covered include agency, fiduciary duties, mergers and acquisitions, voting rights and insider trading. The course will assume a basic knowledge of corporate finance and accounting and may examine theoretical perspectives on contemporary questions in corporate structure and governance.

Prerequisites: Students in this course are expected to have knowledge and familiarity with basic accounting and corporate finance. Satisfactory completion of Law 6100 and Law 6101 would obviously meet this expectation. If a student has knowledge/familiarity of accounting and corporate finance from other college-level coursework or work experience, but is unsure whether their exposure meets the instructor’s expectations, such students are encouraged to discuss it with the instructor.
