Course Description

This class offers an introduction to transactional legal practice at the intersection of law and business. It is designed for students with little or no experience in transactional business law who wish to learn more about the range of issues that can arise in this area of legal practice. The course topics include initial entity formation, an overview of alternative fundraising transactions, and an examination of several other transactional relationships and regulatory obligations (such as SEC filings). Both legal and business considerations will be discussed.

Note, the exclusivity of this course with those courses is only 1-way; students who take this course first are eligible to take any of those courses.

Course Notes: This course is designed primarily for 1Ls and other students who have not taken courses in the area of business law. Because of the 1L priority, seats in this course will not be available during the lotteries for 3Ls, 2Ls and LLMs, but those students may attempt to obtain seats during the Add/Drop period.
