Course Description

Delaware courts have issued a line of decisions that sparked public debates, and could have significant corporate law implications. This class will cover recent developments in Delaware law including Elon Musk compensation, reincorporations to other states, and the Match case at the supreme court. It will discuss main features of Nevada, Texas and other states corporate law, and the potential competitive threats from these states. Finally it will discuss Delaware legislative responses to these threats and their legal implications.
