Course Description

An introduction to the entrepreneurial process involved in the start-up of a medtech company formed to commercialize a university discovery. The course will provide insight into the peculiar issues of the financing of a medtech company and will touch on the entrepreneur's evaluation of a scientific/commercial opportunity, business issues in negotiating and drafting a patent license term sheet, the key elements of the business plan, and developing and delivering a slide presentation to potential investors. Materials will include actual issued patents, selected peer-reviewed journal articles, and real-life documents related to the founding and financing of a medical device company. Students will deliver an "elevator speech," and, working in teams, will negotiate a term sheet for a license agreement with the university, prepare an executive summary of a business plan (based on an actual business plan that is provided), and prepare and deliver an investor presentation.

Written Work Product: Students will create a 2-4 page executive summary for a business plan and a 10-15 slide PPT for an investor pitch.

Prerequisites: Food and Drug Admin. Law, Survey of IP Law preferred but not required. Because the credits in this course count toward the JD Program Professional Skills requirement, JD candidates will be given enrollment priority for this class. Concurrencies: None

Course Notes: Enrolled students who do not attend the first class session will be dropped. Students seeking to enroll in this course must attend the first class session. Grades will be based on individual class participation, team evaluation of opportunity screen, team role-playing patent license negotiation, individual delivery of an "elevator speech," team preparation of a written business plan executive summary (600-1200 words), and team-drafted investor slide presentation (12 slides).
