Course Description

This is the first semester of a yearlong seminar designed to enhance students' understanding of ethical issues and address the broader ethical and moral responsibilities of the lawyer as citizen and leader. This seminar is about CEOs. What is it like to lead a large and complex business? What factors seem to contribute to the best leadership patterns? What are some negative consequences of CEO behavior, and can these problems be mitigated? And how do elements of personality combine with social context and other factors to establish high performing and low performing leaders? We will analyze CEO leadership by reading several of the best autobiographies and narratives in this area. And we will focus in particular on situations that involve challenging ethical and moral circumstances. Assigned materials will likely include the following: (1) Robert Iger, The Ride of a Lifetime: Lessons Learned from 15 Years as CEO of the Walt Disney Company (2019). (2) John Carreyrou, Bad Blood: Secrets and Lies in a Silicon Valley Startup (2018). Prerequisites: JD students are given priority for this course during the LCS enrollment lottery process. LLM students may enroll in the course during the SIS Add/Drop process. Concurrencies: None

Course Notes: Seminar sessions will be held on the following Sundays: 10/4, 11/1, 2/21, 3/14, and 4/4. I am currently planning to hold the fall sessions in my backyard with social distancing (and I will also have a video link established if you cannot attend in person). We will set plans for the spring classes as we get closer to that term.
