Course Description

The first half of the semester will consist of a survey of major considerations in commercial contract negotiations, and the rest of the semester will proceed with hands-on contract markups and mock negotiations, with the class broken up into groups to work through each assignment.

Written Work Product
Written Work Product: Students will write a final memorandum on a negotiated contract, analyzing risks and providing advice for a client’s board of directors. The memo will be due via EXPO by noon on the last day of the exam period.

Other Work
Negotiation participation and real-time drafting and revision of commercial contract provisions.

Prerequisites: (Contracts (6002)) Corporations is recommended, but not required. Also, because the credits in this course count toward the JD Program Professional Skills requirement, JD candidates will be given enrollment priority for this class. Concurrencies: None
