Course Description

Understanding how to buy and sell private companies is the gateway drug to the world of Mergers and Acquisitions. A basic familiarity with the business involved and the transaction will greatly improve your effectiveness as a buyer or seller (or as the counsel for a buyer or seller). This course will quickly review the energy industry to learn how transactions in the various sectors of that industry may differ and then the class will use transaction documents to provide a greater level of understanding for the purchase and sale of private companies. The class will focus on developing real world skills for the mergers and acquisitions practitioner. This class should be helpful to lawyers, lenders or owners.

<span style="font-size:small;">A take-home examination will be distributed in a sealed envelope on the last day of class. Students will be on their honor to complete their answers to the exam during the stated amount of time upon opening the envelope, and to submit their answers via LawWeb shortly thereafter. The deadline to submit exam answers to LawWeb is 4:30 pm (EST) on November 30, 2015. </span>
