Course Description

Understanding how to buy and sell private companies is the gateway drug to the world of Mergers and Acquisitions. A basic familiarity with the business involved and the transaction will greatly improve your effectiveness as a buyer or seller (or as the counsel for a buyer or seller). This course will quickly review the energy industry to learn how transactions in the various sectors of that industry may differ and then the class will use transaction documents to provide a greater level of understanding for the purchase and sale of private companies. The class will focus on developing real world skills for the mergers and acquisitions practitioner. This class should be helpful to lawyers, lenders or owners.

Description: A take-home exam will be distributed by the instructor.  Students will be on their honor to use only the amount of time stated on the exam to draft their exam answer(s), and to upload to EXPO thereafter.  The exam answers will be due to EXPO no later than 4:30pm (EST) Thursday November 24th, 2016, two weeks after the last class meeting.

Prerequisites: Corporations or Corporations (Law and Business) is required. Tax, accounting or administrative law will be helpful, but not required. Concurrencies: None

Course Notes: This short course meets Monday - Thursday, 6:15p.m. - 7:45p.m. from October 31st to November 10th, 2016.  ATTENDANCE: Enrolled students who do not attend the first class session will be dropped. Students seeking to enroll in this course must attend the first class session. Along with a final exam, class participation and homework assignments are required.
