Course Description

This experiential-learning course consists of a semester-long simulation of the negotiation of an international business transaction with a class at another law school, University of Pennsylvania, by in-person and videoconference sessions and written communication. The goals of this course are (i) to introduce students to transactional law, (ii) to provide negotiations training in the context of transactional practice, and (iii) to further practical legal skills. The focus is on having students apply their legal and non-legal knowledge in the context of serving as a lawyer negotiating an international business transaction within the controlled environment of the classroom. Students will gain an understanding of the real-world practice of transactional law and the role of lawyers in international business negotiations through class participation and active engagement in the live negotiations. Class discussions will focus on the strategies and progress of the negotiation and on substantive legal and business issues that arise in and affect the negotiation. Grades will be based on 1) participation in the class discussion and live negotiations, 2) student journals, and 3) a final paper.

Written Work Product: There are two written requirements: 1) a one-page journal observation for each class session written contemporaneously, and 2) a final paper of 10-12 pages due via EXPO by noon (EST) on last day of the Final Exam period.

Course Notes: Along with the weekly meetings, this course will also meet on five Saturdays throughout the semester in order to video conference (or, in the case of two Saturday sessions, to have in-person negotiation experiences in DC) with a partner school, UPenn, for negotiations. The Saturdays in Washington, DC will be on Feb. 22 and March 21, and the other Saturdays in C'ville will be Feb 8, 15, and 29. In the event of a weather closing, the class sessions may be held via conference call dial-in. Any enrolled students who cannot attend the first class meeting should contact the instructor beforehand to obtain important information pertaining to the forthcoming live negotiations.
