Course Description

This class offers an introduction to transactional legal practice at the intersection of law and business. It is designed for students with little or no experience in transactional business law who wish to learn more about the range of issues that can arise in this area of legal practice. The course topics include initial entity formation, an overview of alternative fundraising transactions, and an examination of several other transactional relationships and regulatory obligations (such as SEC filings). Both legal and business considerations will be discussed.

Exclusive With: Students who have taken Corporations (LAW 6103 or LAW 6109), Business Planning (LAW 7185) or Legal Issues in Corporate Finance (LAW 8012) cannot take this course. However, the exclusivity of this course with those courses is only 1-way; students who take this course are eligible to take any of those courses.
