Course Description

Corporate Mergers and Acquisitions of private companies are very different from public company transactions. This course explores the structuring and negotiating of private deals by strategic (another company) and financial (private equity) purchasers through detailed discussion of and exercises focused on actual transactions. The goal is to give students exposure to and experience editing/negotiating documents for each stage of an acquisition. Active class discussions will limit the amount of homework required to reach the teaching objectives for the course. So please be prepared to participate in class

Description: Students will receive the prompt for the final project in class, an acquisition agreement to revise. Students may work in small groups or individually on this project and it must be uploaded via EXPO (by each student individually) no later than noon on November 9th. Most students will complete the majority of the work on it during the weeks of the class as we discuss the various aspects of such agreements.

Written Work Product

Students will complete homework assignments to be submitted directly to the professor (not via EXPO).

Prerequisites: It is helpful, but not required, for students to have had exposure to what corporations are through prior courses such as Corporations, Securities Regulation, Income Tax, or Partnership Tax. Because the credits in this course count toward the JD Program Professional Skills requirement, JD candidates will be given enrollment priority for this class. Concurrencies: None
