Course Description

Major investors, including large mutual funds, increasingly incorporate the consideration of environmental, social and corporate governance factors into their investment and proxy voting decisions. As a result debates over social responsibility, gender diversity on boards, sustainability, and corporate purpose have moved to the forefront of corporate law. This seminar will engage with scholarship—as well as practitioner materials—addressing these developments and consider how companies are responding to these developments.

Written Work Product

Students will write response papers reflecting on the readings (deadlines to be announced), and come prepared for discussion. The response papers will be submitted directly to the instructor, not via EXPO.

Prerequisites: (Corporations (6103) OR Corporations (Law & Business) (6109)) Students who have not completed LAW 6103 or LAW 6019 may request a waiver of the prerequisite from the instructor, and if approved, it must be provided to the Student Records Office (SRO) in writing. Concurrencies: None
